1. Acceptance of Terms

By creating an account or using ShowUp (the "Service"), you agree to these Terms & Conditions and to our Privacy Policy. If you do not agree, do not use the Service.

2. Who We Are

ShowUp is operated by BuildOften LLC, a limited liability company organized under the laws of Wyoming, United States.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. Real-money features (if and where offered) may have additional eligibility and location requirements.

4. The Service

ShowUp helps groups of friends set shared goals, check in on their progress, and hold each other accountable. Members commit to a goal; those who follow through and those who don't are determined by check-ins, and results are summarized in a weekly settlement.

In the current version, ShowUp operates on an honor system with no real money. Stakes are tracked for motivation and display only.

5. Commitments, Stakes & Settlements

When you join a group you choose a goal, a check-in frequency, and a stake amount. At the end of each period the Service calculates a settlement based on who met the goal. In honor-system groups, no money changes hands through the Service; any informal arrangements between members are solely between those members and are not facilitated, guaranteed, or enforced by ShowUp.

6. Not Gambling; Geographic Limits

ShowUp is designed as a commitment-contract and accountability tool. It is not a lottery, sweepstakes, wager, or game of chance. Outcomes depend on each member's own actions and follow-through, not on chance.

If and when real-money features are offered, they will be made available only in jurisdictions where they are permitted, and we may restrict or geo-gate access by US state or other location as required. [Specific eligible/excluded states to be confirmed with counsel.]

7. Payments (Real-Money Features)

Real-money features are not currently active. If they are introduced, the following will apply, and additional payment terms may be presented at that time:

• Payments and payouts are processed by third-party processors (e.g., Stripe). You must accept the processor's terms and provide accurate information.
• Funds for a pot are held in escrow by the processor; ShowUp does not take custody of member funds.
• A platform fee of up to 10% may apply to real-money settlements [waiver/exceptions to be specified].
• You are responsible for any taxes on amounts you receive. Tax reporting (e.g., IRS Form 1099) may apply.
• Refunds, failed charges, and disputes are handled as described in the payment terms presented at the time.

8. Acceptable Use

You agree not to: misrepresent check-ins or results; harass or abuse other members; use the Service for unlawful purposes; attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service; or use it in any way that violates applicable law.

9. Your Content

You retain ownership of content you submit (such as check-in photos and profile information). You grant ShowUp a limited license to host, store, and display that content as needed to operate the Service. Do not upload content you do not have the right to share.

10. Suspension & Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access for violations of these Terms or to protect the Service or other users. Sections that by their nature should survive termination (including disclaimers, limitation of liability, and governing law) will survive.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BUILDOFTEN LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. 13. Indemnification

You agree to indemnify and hold harmless BuildOften LLC from claims, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Service or your violation of these Terms.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. [Dispute-resolution mechanism — e.g., venue, or a binding arbitration / class-action-waiver clause — to be finalized with counsel.]

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes (for example, by email or in-app notice) before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
